1. Acceptance of Terms
Welcome to VeilPrep. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," "your") and VeilPrep ("Company," "we," "us," "our") governing your access to and use of the VeilPrep desktop application and any associated services (collectively, the "Service").
By downloading, installing, or using VeilPrep, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.
You must be at least 18 years of age to use VeilPrep. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this agreement. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Recording Consent — Your Responsibility
IMPORTANT: You are solely and entirely responsible for ensuring that your use of VeilPrep complies with all applicable laws regarding audio recording, wiretapping, eavesdropping, and consent in your jurisdiction. VeilPrep does not provide legal advice. If you are unsure about the laws that apply to you, consult a qualified attorney before using this software.
VeilPrep provides real-time audio transcription capabilities. The software captures audio from your device — including audio from conversations, meetings, and interviews — and converts it to text. This functionality may be subject to laws governing audio recording and interception of communications.
Recording and consent laws vary significantly across jurisdictions. You should be aware of the following:
- United States: Federal law (18 U.S.C. § 2511) permits one-party consent for recording. However, numerous states require the consent of all parties to a conversation, including but not limited to California, Florida, Pennsylvania, Washington, Illinois, Maryland, Massachusetts, Montana, New Hampshire, Connecticut, and Michigan. Violations can result in both criminal penalties and civil liability.
- European Union: The General Data Protection Regulation (GDPR) imposes strict requirements on the processing of personal data, including audio recordings. Recording conversations without a lawful basis and without appropriate notice may violate GDPR and applicable member state laws.
- Canada: The Personal Information Protection and Electronic Documents Act (PIPEDA) and provincial privacy legislation govern the collection and use of personal information, including audio recordings. Canadian Criminal Code Section 184 addresses interception of communications.
- Other jurisdictions: Many other countries and regions have their own recording consent laws. It is your obligation to research and comply with the specific laws of every jurisdiction in which you operate.
The Company makes no representations or warranties regarding the legality of using VeilPrep in any particular jurisdiction or context. You bear all civil and criminal liability for how you choose to use this software. The Company shall not be held responsible for any legal consequences arising from your use of VeilPrep's audio capture and transcription features.
3. Service Description
VeilPrep is an AI-powered interview preparation and assistance tool that provides the following capabilities:
- Real-time transcription: Live speech-to-text conversion of audio captured from your device, with speaker diarization to distinguish between participants.
- AI answer generation: Context-aware answer suggestions generated in real time based on the transcribed conversation, your resume, and relevant job descriptions.
- System design companion: An interactive mode that assists with system design interview questions, providing architectural guidance and structured frameworks.
- Coding analysis: Screen capture and analysis capabilities for coding interview problems, providing hints, approaches, and solution scaffolding.
- Behavioral interview support: Detection of behavioral questions and generation of structured responses using the STAR (Situation, Task, Action, Result) framework.
The Service operates as a stealth overlay that is invisible to screen-sharing applications. Features, functionality, and availability may change at any time without prior notice.
4. Credits and Pricing
4.1 Credit-Based Model
VeilPrep uses a credit-based pricing model. Each credit entitles you to one full interview session (up to 90 minutes) with all features unlocked. Credits are available in the following packs:
- Starter Pack: 3 interview credits for $29 (~$9.67 per interview).
- Standard Pack: 10 interview credits for $79 (~$7.90 per interview).
- Pro Pack: 25 interview credits for $149 (~$5.96 per interview).
4.2 Billing
All payments are processed securely through Stripe. Credit purchases are one-time payments, not recurring subscriptions. You authorize us to charge your designated payment method for all applicable fees at the time of purchase.
4.3 Refunds
Purchased credits are non-refundable once the transaction is complete. Credits do not expire and remain available in your account until used. If you experience a technical issue that prevents you from using a credit during an interview session, please contact support@veilprep.com and we will review your case.
5. Usage Limits
Each interview credit provides the following within a single session:
- Up to 90 minutes of real-time speech-to-text transcription with speaker diarization
- Unlimited AI answer generation requests during the session
- Unlimited screen capture analysis (coding and system design) during the session
One credit is consumed when you start an interview round. If an interview session exceeds 90 minutes, the session will end and you may start a new session using an additional credit. The Company reserves the right to modify session limits with 30 days' notice.
6. Acceptable Use
You agree to use VeilPrep responsibly and lawfully. The following uses are strictly prohibited:
- Professional licensing exam fraud: Using VeilPrep to gain unauthorized assistance during regulated professional certification or licensing examinations, including but not limited to medical board exams (USMLE, COMLEX), bar examinations, CPA exams, actuarial exams, or any other credentialing process where external assistance is prohibited.
- Impersonation and fraud: Using the Service to impersonate another individual, misrepresent your qualifications, or engage in any form of deception that could cause harm to another party.
- Reverse engineering: Attempting to decompile, disassemble, reverse engineer, or otherwise derive the source code, underlying algorithms, or architecture of VeilPrep.
- Redistribution: Copying, distributing, sublicensing, reselling, or making the Software available to any third party without our express written consent.
- Abuse of infrastructure: Attempting to circumvent usage limits, overload our systems, or exploit the Service in any manner that could degrade performance for other users.
- Illegal activity: Using VeilPrep for any purpose that violates applicable local, state, national, or international law.
We reserve the right to investigate suspected violations and take appropriate action, including suspension or termination of your account.
7. Intellectual Property
7.1 Our Intellectual Property
VeilPrep, including its software, design, logos, trademarks, documentation, and all associated intellectual property, is and remains the exclusive property of the Company. Nothing in these Terms transfers any ownership rights to you. Your license to use VeilPrep is limited to the scope expressly granted in these Terms.
7.2 Your Content
You retain all ownership rights to the content you provide to VeilPrep, including resumes, job descriptions, cover letters, and any other personal materials you upload or input into the Service.
7.3 License to Process
By submitting content to VeilPrep, you grant us a limited, non-exclusive, worldwide license to process, analyze, and use your content solely for the purpose of providing and improving the Service's features. We do not sell your content to third parties. This license terminates when you delete your content or close your account.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Without limiting the foregoing, the Company does not warrant or guarantee that:
- The Service will meet your specific requirements or expectations;
- Use of VeilPrep will result in successful interview outcomes, job offers, or any particular employment result;
- Transcription output will be accurate, complete, or error-free;
- AI-generated answers or suggestions will be correct, appropriate, or suitable for your specific situation;
- The Service will be uninterrupted, timely, secure, or free of defects;
- Any information obtained through the Service constitutes professional, legal, or career advice.
AI-generated content is produced by machine learning models and should be treated as suggestions, not authoritative answers. You are solely responsible for evaluating and using any content generated by VeilPrep.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, or business opportunities;
- Loss of data or content;
- Loss of employment opportunities or adverse interview outcomes;
- Damages arising from reliance on AI-generated content;
- Damages arising from interruption of service or system failures;
- Any damages arising from the acts or omissions of third-party service providers.
THE COMPANY'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO THE COMPANY IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
The Company is not liable for any actions, failures, or policies of third-party services integrated with VeilPrep, including Deepgram, Anthropic, Supabase, and Stripe. Your use of these services is governed by their respective terms.
10. Account Termination
10.1 Termination by Us
We reserve the right to suspend or terminate your account and access to the Service at any time, with or without prior notice, if we reasonably believe that you have violated these Terms or engaged in conduct that is harmful to the Company, other users, or third parties. In the event of termination for cause, you are not entitled to any refund of prepaid fees.
10.2 Termination by You
You may delete your account and terminate these Terms at any time through your account settings. Unused credits are non-refundable upon account deletion.
10.3 Effect of Termination
Upon termination, your license to use VeilPrep is immediately revoked. You must delete all copies of the Software from your devices. Sections of these Terms that by their nature should survive termination will continue in effect, including but not limited to Sections 2, 7, 8, 9, and 12.
11. Changes to Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will provide at least 30 days' notice via email to the address associated with your account or through a prominent notice within the application.
Your continued use of VeilPrep after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Service and delete your account before the changes take effect.
We encourage you to review these Terms periodically for any updates. The "Last Updated" date at the top of this page reflects the most recent revision.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in the State of Delaware, and you hereby consent to the personal jurisdiction and venue of such courts.
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms will otherwise remain in full force and effect.
